Introduction

Welcome to Halool.com (the "Site"). HONG KONG HALOOL VISION CO., LIMITED ("we","us","our" or "Halool") owns and operates the Site and provides information, products and services through the Site. Both the Site and the services available through the Site as the "Services". the products including lenses, glasses, accessories and any other eyeglasses items available through the Site as "Products".

Before using any of the Services or purchasing any of the Products, please read these Terms of Use and any other terms, conditions, notices, policies, and agreements referenced and/or available by hyperlinks on the Site (the "Terms") , which contain rules and other guidelines related to your access, use and purchase of the Services and Products. This Terms of Use establishes a legal agreement between you and us. You hereby waive any applicable rights to require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent not prohibited under applicable law. If you do not agree to be bound by these Terms of Use, please do not access our Site or make any purchases through the Site.

We will use the Account Information and any additional information we may collect or obtain in connection with your use of our Site in accordance with our Privacy Policy. By accessing and/or using the Site and associated sites, you agree to be bound by these Terms, as updated by us from time to time. So your access to and use of the Services and purchase of the Products may be unauthorized if you do not agree to be bound by these Terms.

1.Access and Use

We only permit individuals who are of legal age in their jurisdiction that can form legally binding contract with us to use the Services. If you are non-adults, you shall obtain parental consent, or be supervised by a parent or legal guardian who is responsible for your use of our Services and compliance with these Terms.

We agree to you accessing the Site and accessing or downloading content from the Site in accordance with these Terms. You may use the Site and content solely for your own lawful and personal purposes. You may not use the Site or content for commercial purposes unless this is permitted under the separate terms referenced in Section 10 (Unacceptable Activity) below. You agree to comply with all rules, laws and regulations relating to your use of the Site and content, and all directions or instructions we notify you of from time to time regarding your access to and use of the Site and any content (including any notice provided via the Site). You warrant that all information and data that you provide to us through the Site is true, accurate, complete and up-to-date.

2.Account Registration

Without creating a user account ("Account"), you can visit and browse most of the Services. However, other features may require you to create an account, which enhances your experience by enabling personalized features such as order tracking, favorite savings, and prescription management.

By requesting an Account, you warrant to us that you are a natural person who is over the age of 18 years or who has parental or guardian approval to use the Site. We have the sole right to determine your eligibility to register an Account and may reject, or require that you change, any user name, password or other information that you provide to us in registering the Account. Upon creating an Account, you will be asked to provide your email address and create a unique password. You are fully responsible for the activities conducted under your Account, you represent and warrant that any information you provide in connection with the creation of the Account is and will remain accurate and complete, and that you will maintain and update such information as needed.

You may not have more than one Account, and your Account is non-transferable. You may update, edit or terminate your Account at any time through the Site. You acknowledge that we may provide access to your Account to any person using your PIN (Personal Identification Number) , password or other secure access measures we issue to You (Access Tool). You are therefore responsible for protecting your Access Tool and must do everything necessary to protect your Access Tool from unauthorized use or disclosure to any other person and we are not responsible for maintaining the security of your Access Tool.

Any action or request made by any user of your Account or Access Tool will be deemed to have been made by you and the instruction will be carried out without further enquiry. You will be responsible for all use of your Account or Access Tool, instructions provided and consequential transactions whether authorized by you or not. We will not be liable for acting on an instruction. You must immediately notify us:

(a) if you are or become aware that there is or has been an unauthorized use of your Account or Access Tool, or any other security breach relating to your Account; and

(b) of any changes to your information provided to us as part of the Account registration process.

We retain the right, however, to take any necessary actions to maintain the security of our Services and Accounts, including but not limited to, Account termination, password changes, or requesting additional verification for transactions. This is to ensure the confidentiality of our Services and prevent further damage.

3.No Medical Advice or Services

Halool is not a medical or vision group or a health care provider. Any consultations provided to you will be provided by licensed optometrist, ophthalmologist, and/or other health care professional appropriately licensed and qualified to provide you health care services. If you experience any pain, symptoms, blurred vision, "seeing floaters" or other maladies of the eye, consult your physician immediately or call 911. The content of the Site, including without limitation any content accessed, sent or made available for use or download through the Site (inclusive of any information transmitted by third parties and/or healthcare providers and eyeglass prescriptions) does not constitute professional medical advice, diagnosis, or treatment by us of any kind. You should always seek the advice of your qualified healthcare professionals with any questions or concerns you may have regarding your individual needs and any medical conditions. We do not recommend or endorse any specific tests, healthcare providers, physicians, products, treatments, therapeutics, pharmaceuticals, devices, procedures, options or other information that may be included on, accessed through, sent through or made available for use or download through the Site.

4.Prescription

At Halool, when placing an order that requires a prescription, you represent and warrant that the prescription details are valid and accurate as of the order date. You agree to provide us with a copy of your original prescription for verification to ensure that your purchase information exactly matches your ophthalmologist's prescription. It is your responsibility to use the correct type of prescription associated with the product you wish to purchase from us. If the prescription on the delivered product does not match, do not use the product and contact our

immediately. We are not responsible for problems caused by incorrect prescription information provided by you and by submitting a prescription you are agreeing to this clause.

5.Services and Products

To order through our Services, you must provide basic information including your full name, contact details, payment information, frame selection, lens specifications, pupillary distance, and valid prescription. We offer personalized lens services based on your prescription, and an AR service to help you virtually try on frame styles before purchase. We attempt to ensure the integrity and accuracy of the Site, it makes no representations, warranties or guarantees whatsoever as to the correctness or accuracy of the Site and content thereon. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions and alterations could be made to the Site by third parties. In the event that an inaccuracy arises, please inform us so that it can be corrected. Halool reserves the right to unilaterally correct any inaccuracies on the Site without notice. Information contained on the Site may be changed or updated without notice. Additionally, we shall have no responsibility or liability for information or content posted to the Site from any non-Halool affiliated third party.

In the event a product or service is listed at an incorrect price due to a typographical error or error in pricing information received from our suppliers, we shall have the right to refuse or cancel any orders placed for product or service listed at the incorrect price. We shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit or debit card charged. If your credit or debit card has already been charged for the purchase and your order is canceled, we shall promptly issue a credit to your credit or debit card account in the amount of the incorrect price. If a product offered by our Site is not as described, your sole remedy is to return it unused and with the full contents in accordance with our Return & Refund.

6. Facial Data Collection

Our website features a Lenses Scanner tool designed to assist you in obtaining optical parameters from your prescription glasses. Additionally, we offer an AR Try-On Service that requires the collection of facial data to provide a personalized virtual try-on experience.

We collect facial data for the sole purpose of enhancing your AR Try-On Service experience. By using the AR Try-On Service, you consent to the collection and use of your facial data. We are dedicated to safeguarding the confidentiality and security of your data. You retain the right to access, modify, or request the deletion of your facial data.

7.User Review

By sharing comments, images with comments ("User Review"), you retain the rights to your review. However, you agree to give us a worldwide, non-exclusive license to use, alter, reproduce, distribute, and publicly display this content for a range of purposes, such as showcasing genuine user feedback and product improvement.

You acknowledge that you have the right to share User Review and that User Review does not violate the rights of third parties. We can use your review without payment or re-request. When you share User Review, you also allow other users to access and use it. We may inspect, change or remove User Review that may violate the law or our rules. We are not responsible for how User Review is used under the license you provide. Using our Services means you agree to these Terms.

8.Intellectual Property

All trade marks on this Site are owned, or used under licence, by us. Nothing contained on the Site should be construed as us granting you any licence or right to use or reproduce any of these trade marks.

The Content is protected by copyright laws and is owned, or used under licence, by us. You agree not to do any of the following (unless expressly permitted under these Terms or other terms in place with us):

You are granted a limited license to view the content on the Services for personal and non-commercial use. Any reproduction, distribution, or public display of the content or Trademarks without the prior written consent of Halool is prohibited. Altering or removing copyright and trademark notices from the content is not permitted. The unauthorized use, reproduction, or distribution of our content or Trademarks is strictly forbidden and would constitute a breach of intellectual property rights, privacy laws, and other relevant legal standards.

9. Copyright Policy

We are dedicated to protecting copyright. We will remove content if we believe it infringes on someone's intellectual property rights. WE HIGHLY DISCOURAGE CUSTOMERS FROM USING EYEGLASSES THAT ARE NOT SUITED TO THEIR PRESCRIPTION AND ENCOURAGE YOU TO VISIT YOUR EYE DOCTOR AND OPTOMETRIST PERIODICALLY.

EXCEPT AS EXPRESSLY STATED HEREIN AND IN OUR PRIVACY POLICY, WE DO NOT MAKE ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE SECURITY OF ANY INFORMATION YOU MAY PROVIDE OR ACTIVITIES YOU ENGAGE IN DURING THE COURSE OF YOUR USE OF OUR SITE.

(A) HALOOL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND, UNDER ANY CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHER THEORY, INCLUDING DAMAGES FOR LOSS OF PROFITS, USE OR DATA, LOSS OF OTHER INTANGIBLES, LOSS OF SECURITY OF INFORMATION (INCLUDING UNAUTHORIZED INTERCEPTION BY THIRD PARTIES OF ANY INFORMATION), EVEN IF ADVISED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES;

(B) WITHOUT LIMITING THE FOREGOING, HALOOL WILL NOT BE LIABLE FOR DAMAGES OF ANY KIND RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR FROM ANY PRODUCTS OR THIRD PARTY MATERIALS, INCLUDING FROM ANY VIRUS THAT MAY BE TRANSMITTED IN CONNECTION THEREWITH;

(C) YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE OR ANY PRODUCTS OR THIRD PARTY MATERIALS IS TO STOP USING THE SITE; AND

(D) THE MAXIMUM AGGREGATE LIABILITY OF HALOOL FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL BE THE GREATER OF (I) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO HALOOL TO USE THE SITE, AND (II) TEN U.S. DOLLARS ($10).

ALL LIMITATIONS OF LIABILITY OF ANY KIND (INCLUDING IN THIS SECTION AND ELSEWHERE IN THIS DOCUMENT) ARE MADE FOR THE BENEFIT OF BOTH HALOOL AND THE AFFILIATED ENTITIES, AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS.

Indemnity

WTo the fullest extent permitted under applicable law, you agree to defend, indemnify and hold harmless Halool and the Affiliated Entities, and their respective successors and assigns, from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses and fees (including attorneys' fees) arising out of or relating to (a) your use of, or activities in connection with, the Site; and (b) any violation or alleged violation of this Terms of Use by you or your authorized users, or (c) in connection with your use of, or inability to use, our Site or your purchases or placement or transmission of any message or information on our Site by you or your authorized users or your violation of law or the rights of a third party.

16.Termination

You agree that Halool may terminate your access to the Site without prior notice and for any reason, and you acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and bar any further access to such files or our Site. Further, you agree that we shall not be liable to you or any third party for any termination of your access to our Site and/or deactivation or deletion of your account. These Terms remain in effect even after your access or account is terminated. You also agree that any violation by you of these Terms will constitute an unlawful and unfair business practice, and will cause irreparable harm to Halool, for which monetary damages would be inadequate, and you consent to us obtaining any injunctive or equitable relief that Halool deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies we may have at law or in equity.

17.Governing Law

These terms are governed by the laws of the United States (including federal arbitration law) and the State of California, U.S.A., without regard to its principles of conflicts of law, and regardless of your location.

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ASPECT OF THE RELATIONSHIP BETWEEN YOU AND HALOOL, WHETHER BASED IN CONTRACT, TORT, STATUTE, FRAUD, MISREPRESENTATION OR ANY OTHER LEGAL THEORY, WILL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION BEFORE A NEUTRAL ARBITRATOR INSTEAD OF IN A COURT BY A JUDGE OR JURY AND YOU AGREE THAT HALOOL AND YOU ARE EACH WAIVING THE RIGHT TO TRIAL BY A JURY. SUCH DISPUTES INCLUDE, WITHOUT LIMITATION, DISPUTES ARISING OUT OF OR RELATING TO INTERPRETATION OR APPLICATION OF THIS ARBITRATION PROVISION, INCLUDING THE ENFORCEABILITY, REVOCABILITY OR VALIDITY OF THE ARBITRATION PROVISION OR ANY PORTION OF THE ARBITRATION PROVISION. ALL SUCH MATTERS SHALL BE DECIDED BY AN ARBITRATOR AND NOT BY A COURT OR JUDGE.YOU AGREE THAT ANY ARBITRATION UNDER THIS AGREEMENT WILL TAKE PLACE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED AND YOU ARE AGREEING TO GIVE UP THE ABILITY TO PARTICIPATE IN A CLASS ACTION.

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as amended by this Terms of Use. The Consumer Arbitration Rules are available online at AAA's official website. The arbitrator will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances, unless the arbitrator determines upon request by you or by us that an in-person hearing is appropriate. If the parties are unable to agree on a location, such determination should be made by the AAA or by the arbitrator. The arbitrator will have authority to award temporary, interim or permanent injunctive relief or relief providing for specific performance of this Term of Use, but only to the extent necessary to provide relief warranted by the individual claim before the arbitrator. Notwithstanding any of the foregoing, nothing in this Agreement will preclude you from bringing issues to the attention of federal, state or local agencies and, if the law allows, they can seek relief against us for you.

We will not be liable for a failure in the performance of obligations under these Terms by reason of strikes, riots, fire, explosions, acts of God, epidemics or pandemics, war, governmental action or direction, telecommunications or internet outages or any other cause which is beyond our reasonable control.

Purchase Policy

1.Prescription

You hereby represent and warrant that the prescription you submit as part of your order is valid on the date of placing your order. If your prescription does not include an expiration date, we will fill your order in accordance with applicable legal requirements or within two years of the date of the prescription, subject to applicable laws and regulations. If your prescription or order information is incomplete, we may need to take additional measures to track down current information, which could mean you have to wait longer for your lenses, glasses, and accessories ("Products"). If you have not uploaded your prescription at the time of placing your order, we recommend that you promptly contact your ophthalmologist to obtain the prescription and then upload it to your order as soon as possible. To assist you in this process, we may send you occasional order reminders or offer a prescription upload feature to make it easier for you to timely upload your prescription and complete your order. By placing an order through our Site, you represent that the information used for purchasing the Products is correct, true, and accurately matches the prescription you receive from your eye care provider. You further represent and warrant that you will renew your prescription in accordance with your eye care provider's instructions. Your hereby acknowledge that your order will not be guaranteed unless your prescription meets the terms set out in this Purchase Policy. You hereby agree that we and our representatives may contact your eye care provider with any questions, comments, concerns, or verification needed with respect to your prescription.

When you order eyeglasses, we will also need your pupillary distance (PD), to fill in your order. When you are fitted for eyeglasses by an eye care provider, you should be provided with a copy of your prescription specifying your PD. In the event that the PD is not included in your order, we will use an average PD, and you agree that you forfeit all rights for any claim against us in such case. In any event, you shall be entitled to return or exchange the item in accordance with our Return & Refund.

In case of the prescription change requires an upgrade in the lenses package, you may be required to pay the difference.

2.Pricing and Discounts

We may in our sole discretion change product prices prospectively without notice. While we do our best to describe the products as accurately as possible, if the pricing or specification error occurs, we have the right to refuse or cancel your order at any time prior to order confirmation. Please note that we do not provide price protection or refunds in the event of a price drop or promotional offering.

We make our efforts to keep our Products as affordable as possible and often distribute coupons through various channels for this purpose. 365-Day Warranty

Halool offers a 365 days warranty (from the day of receipt), covering any possible defect in materials and workmanship. Any damage caused by accidents, negligence, or improper care is not covered.

30-Day Exchange or Return

Unsatisfactory item(s) can be exchanged or refunded within 30 natural days of receipt. Please note that we cannot process requests for refund or exchange for non-quality issues beyond the 30-day window. Each order is eligible for one-time after-sale service, meaning you can request a return or exchange once for any reason.

If we make a mistake in processing your order—such as shipping the wrong prescription or sending incorrect items—we will provide a pre-paid shipping label for the return and offer you the choice of:

a. A replacement item(s),

b. A full refund, or

c. A coupon worth 110% of your original purchase amount.

If the issue was caused by the customer (e.g., incorrect prescription or shipping address), or if you simply don’t like the item and wish to return it for non-quality reasons, we’re happy to help. However, in these cases, we cannot provide a pre-paid shipping label and return shipping costs must be borne by the customer.

You may then choose from the following options:

30% of the lens price before discounts, and

Original shipping fee (if any).

b. An exchange for items of the same value (you’ll need to pay any price difference if the new item costs more).

c. A coupon worth 110% of the returned item(s)’ value, which can be used for a future purchase.

If you use a coupon received from a previous return to purchase new item(s), we will send out the new item(s) accordingly. If you are still unsatisfied, you may return them under this same 30-day policy.

Order Modification and Cancellation

If you want to modify or cancel your order, please contact our

. We could help to update the shipping address (except for the country) or billing address or merging orders for shippment before the item/s are dispatched. If it cannot be made directly before shippment, you can contact us to cancel the order and place a new one.

1.Please do not send returns to the sender's address on the package. This is not the return address and will affect the processing of your return. Please send back the returned item/s to the designated address provided by our

2.Ensure that your return package does not accidentally include item/s that are not from Halool. We are not responsible for returning these items to you.

3.After initiating the return, please contact us to provide your tracking number of the returned package for tracking the logistic info, so that we can check the process of your return.

About Refunds

1.After a refund is issued, you can choose to receive a refund to the original payment method or Receive a merchandise coupon worth 110% of the original order amount, which can be used to purchase new items

2.The refund will be issued to the original payment method. Regrettably, due to shipping delays, your refund may take an additional 3-7 business days to process. We appreciate your patience and understanding. As part of PCI compliance, refunds will not be issued to any card other than the credit card used in the order.

About Halool Gift Cards

If you return items and choose to receive store credit instead of having the funds returned to the original credit card or PayPal account used for the purchase, the credit will be immediately transferred to your gift card once we have processed it. Please note that with store credit, you will not be able to redeem it for cash or have the funds returned to the original payment account.
